Nvidia's $12.9B Hugging Face acquisition: promises of neutrality amid competitive concerns
Nvidia has agreed to acquire Hugging Face for $12.9 billion, bringing a major open-model platform under the world's dominant AI chipmaker. CEO Jensen Huang has pledged the platform will remain open and hardware-agnostic.

Nvidia founder, president and CEO Jensen Huang is making explicit commitments to preserve Hugging Face's role as a neutral hub for the AI ecosystem, even as the company prepares to own a platform where developers currently choose between accelerators from Nvidia, AMD, Intel and cloud providers.
The acquisition, valued at $12.9 billion, places one of artificial intelligence's most significant open-model repositories under the control of the world's most valuable company by market capitalization, exceeding $5 trillion. Concerns about the deal's implications for platform openness and hardware neutrality surfaced when reports first emerged in August about Nvidia's interest in acquiring what many call the "GitHub of AI Models."
Commitments to openness
Huang has worked to address worries that Hugging Face could become a tool for directing developers toward Nvidia's own technology offerings. In Thursday's official announcement, he made several explicit pledges regarding the platform's future direction.
Nvidia compute will not be required to build on or deploy through Hugging Face.

According to Huang's statement, Hugging Face would "remain an open platform for the entire AI ecosystem," maintain backing for multiple cloud environments and accelerators, and ensure that Nvidia's own computing resources would not become mandatory for development or deployment. He further emphasized that the platform would "continue to support open source and open weight models from across the ecosystem, from every model builder" and enable "multi-cloud and multi-accelerator development and deployment, so builders can use the hardware and infrastructure that best fit their work."
The word "open" appears 19 times in Huang's relatively brief announcement, underscoring how central this reassurance is to Nvidia's framing of the transaction. Huang also referenced a recent open letter on open weights that he co-signed with executives and researchers across the AI field, including those from Hugging Face, arguing that open-weight models are vital for expanding AI access, fostering competition and giving developers greater control over model deployment and customization.
Nvidia has been investing substantially in open-weight artificial intelligence, including through its Nemotron models and efforts to make advanced models more feasible to run on local systems. Hugging Face co-founder and CEO Clément Delangue previously characterized Nvidia as the "King of American open-source AI" several months earlier, citing its expanding collection of publicly available models, datasets and Spaces hosted on Hugging Face.
Following Thursday's announcement, Delangue reinforced this assessment in a LinkedIn post about the transaction, contending that Hugging Face has reached a stage where sustaining competitive open-source artificial intelligence would demand significantly greater resources.

Delangue wrote that "10 years after starting Hugging Face, open-source AI is at an inflection point" and noted that while the community had demonstrated open-source AI could serve as a complement or even substitute to proprietary APIs, scaling this approach would require substantially more resources. He stated that Nvidia has pledged to support Hugging Face while preserving its openness, independence and compute neutrality, with the founders and current staff remaining involved.
"Together, we think we can make open source the default way to build AI," Delangue stated, expressing an objective to enable 100 million AI builders to "own their intelligence rather than rent it."
Historical parallels and challenges
Microsoft's 2018 acquisition of GitHub for $7.5 billion provides a relevant historical comparison. Microsoft made similar assurances that the platform would maintain its independence and openness. While GitHub has largely preserved its open character, Microsoft's subsequent decision to leverage publicly available GitHub code for training its proprietary, commercial Copilot service generated significant pushback from segments of the open-source community.
According to technology analyst Janakiram MSV in recent Forbes commentary, Nvidia faces a more complex challenge than Microsoft did with GitHub. The hardware dimension of Hugging Face's neutrality presents a test that GitHub never encountered. Hugging Face currently maintains integrations with AWS Trainium and Inferentia, Google TPUs, Intel Gaudi, AMD Instinct and various other accelerators. Under Nvidia's ownership, sustained support for these competing processors will become a meaningful measure of the platform's actual neutrality.
Regulatory path ahead
The transaction remains subject to completion. In a filing with the US Securities and Exchange Commission, Nvidia stated it anticipates closing the deal during the first half of 2027, contingent on standard closing requirements and regulatory clearance. Given Nvidia's commanding position in AI infrastructure and Hugging Face's significance as a distribution channel for open models, regulatory approval may involve substantial scrutiny. Nvidia's SEC filing also notes that emerging regulations concerning open-source artificial intelligence could influence Hugging Face's business operations or raise compliance expenses.

Nvidia reiterated its neutrality commitments in the SEC filing, confirming that under its pledge, Hugging Face would maintain the ability for model creators, developers and users to share models and datasets freely while supporting competing chip manufacturers.
Of the $12.9 billion headline valuation, approximately $11.9 billion will transfer to Hugging Face shareholders, with up to $1 billion designated for equity-based retention incentives for staff transitioning to Nvidia.
